TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR PURCHASING ANY PRODUCT OR SERVICE FROM YPM WEB LLC. BY ACCESSING OUR WEBSITE, CREATING AN ACCOUNT, OR COMPLETING A PURCHASE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. ACCEPTANCE OF TERMS

  • Any combination or bundle of the above

2.2 Product Descriptions

We make every effort to accurately describe our products. However, we do not warrant that product descriptions, pricing, or other content is complete, accurate, reliable, current, or error-free. In the event of an error, we reserve the right to correct it and update the information accordingly.

3. ACCOUNT REGISTRATION

Certain Services may require you to create an account. You agree to:

  • Provide accurate, current, and complete registration information

  • Maintain and promptly update your account information

  • Keep your password secure and confidential

  • Immediately notify us of any unauthorized use of your account

  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false, inaccurate, or outdated information.

4. PURCHASES AND PAYMENT

4.1 Pricing

All prices are listed in US Dollars (USD) unless otherwise stated. Prices are subject to change at any time without prior notice. Applicable taxes may be added at checkout depending on your jurisdiction.

4.2 Payment Processing

We use third-party payment processors to handle transactions. By making a purchase, you authorize us to charge your selected payment method for the total amount of your order. We do not store your full payment card details on our servers.

4.3 Order Confirmation

Upon successful payment, you will receive an order confirmation by email with access instructions. If you do not receive a confirmation within 24 hours, please contact us at ypmwebllc@gmail.com.

5. DELIVERY OF DIGITAL PRODUCTS

Digital products are delivered electronically. Delivery methods may include:

  • Immediate download links available upon payment confirmation

  • Email delivery to the address provided at checkout

  • Access via a member portal or account dashboard

You are responsible for ensuring that your devices meet the minimum technical requirements to access and use the products. We are not responsible for delivery failures caused by incorrect email addresses or technical issues on your end.

6. REFUND AND CANCELLATION POLICY

6.1 Digital Products (Non-SaaS)

Due to the nature of digital products (e-books, templates, downloadable files), all sales are final and non-refundable once the product has been delivered or downloaded. Exceptions may be made at our sole discretion in cases of demonstrable technical failure on our part.

6.2 Online Courses

Refund requests for online courses must be submitted within 7 days of purchase and before completing more than 20% of the course content. No refunds will be issued after these thresholds have been exceeded.

6.3 SaaS Subscriptions

Subscription fees are billed in advance. You may cancel your subscription at any time. Cancellations take effect at the end of the current billing cycle. We do not provide prorated refunds for unused subscription periods unless required by applicable law.

6.4 How to Request a Refund

To request a refund, contact us at ypmwebllc@gmail.com with your order number, the product name, and a description of the issue. We will respond within 5 business days.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership

All content, software, designs, text, graphics, logos, course materials, templates, and other materials available through our Services are the exclusive property of YPM WEB LLC or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

7.2 License Grant

Upon purchase, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased digital product for your personal or internal business purposes, subject to these Terms.

7.3 Restrictions

Unless expressly stated in the product license, you may NOT:

  • Resell, redistribute, or sublicense the product to third parties

  • Share access credentials or product files with unauthorized users

  • Claim ownership or authorship of the product or any part thereof

  • Use the product to create a competing product or service

  • Remove or alter any copyright, trademark, or proprietary notices

8. ACCEPTABLE USE

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Services in any way that violates applicable federal, state, local, or international laws or regulations

  • Transmit any unsolicited or unauthorized advertising or promotional material

  • Impersonate or attempt to impersonate the Company, an employee, another user, or any other person

  • Engage in any conduct that restricts or inhibits any person's use or enjoyment of the Services

  • Attempt to gain unauthorized access to any part of the Services or related systems

  • Use automated tools (bots, scrapers, crawlers) to access the Services without our written permission

9. DISCLAIMER OF WARRANTIES

THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, YPM WEB LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YPM WEB LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless YPM WEB LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or your violation of any third-party rights.

12. THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to third-party websites or integrate with third-party services. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. We encourage you to read the terms and privacy policies of any third-party services you access.

13. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We will notify you of material changes by updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

14. TERMINATION

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Services will cease immediately.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at ypmwebllc@gmail.com and attempt to resolve the dispute informally for at least 30 days.

15.3 Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Albuquerque, New Mexico, and judgment on the award may be entered in any court having jurisdiction.

15.4 Class Action Waiver

YOU AND YPM WEB LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YPM WEB LLC regarding the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce such provision in the future.

16.4 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, cyberattacks, or internet service disruptions.
